General Level Member Agreement


Membership Agreement

This Membership Agreement (the Agreement), effective once you select I Accept during this registration, by and between the FAIR Institute, with a business address of 601 W. Main Ave., Ste 910, Spokane, Washington 99201, and all current and future members of FAIR Institute hereinafter referred to as "Member".

By selecting I Accept during the membership registration, you represent that you have read, understand and agree to be bound by the terms and conditions of this Membership Agreement hereinafter referred to as Agreement.

 

1. Nature of the Service
The FAIR Institute provides to its members benefits such as; but not exclusive to: access to the exclusive community of information risk officers, cyber-security leaders and business executives who share their experience and knowledge on the growing disciplines of information and operational risk management. Members also receive early access to research and content generated by the Institute, discounts on events and the annual FAIR Conference.

 

2. User Registration and Information
Member shall fill in the correct information requested in the User Registration form on the site. Members may update information by contacting memberservices@fairinstitute.org.

 

3. Content
Members are not expected to provide any materials, but Members may voluntarily do so in a variety of instances; including but not limited to, work group meetings, responding to requests for submission of ideas, or public chat forums. Content includes messages and other materials posted to forums, groups, or other locations on the site by Members. Members are deemed to grant the FAIR Institute the nonexclusive ownership and right to post, display, copy, and modify the Content. Member is also deemed to authorize the FAIR Institute to disclose his/her personal data when the Member includes such personal data in the content, including the Member's employer or other disclosed affiliations.

 

4. Release
If the Member has a dispute with one or more other Members, the Member shall release the Community (and its officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

 

5. Privacy

The FAIR Institute shall not sell or rent Members personal information to third parties without Members' explicit consent. The FAIR Institute shall store and process Member information on computers located in the United States that are protected by physical as well as technological security devices. However, the FAIR Institute shall be permitted to access and modify Members contributed information. Member contact details will be used to send information regarding upcoming events (FAIRCON, chapter meetings, webinars, etc.) and for other educational promotions.

Member grants the FAIR Institute, during FAIR Institute activities and events, the right and permission to photograph, film, record, and portray Member's name, voice, actions, likeness, and to modify, edit, use, and reproduce all resulting works; these such works will be considered Content.

Members agree to maintain the integrity and open-forum nature of the group by treating shared information with professional courtesy. Members shall never disclose such information outside the context of collaboration. Permitted uses of FAIR Institute information include leveraging provided best practices to better manage information risk from the business perspective within an organization, but do not include use that derives independent commercial value from such material either by marketing, selling, or distributing a product or service derived therefrom or otherwise.

Members shall take reasonable measure to protect the secrecy of, and avoid disclosure and unauthorized use of FAIR Institute or other Members' Confidential Information. Confidential Information shall include; but is not limited to, intellectual property, trade secrets, business plans, financial information, products, services, know-how, technical information, source code, object code, pricing, customer lists, and the names and contact details of FAIR Institute Members.

FAIR Institute trademarks, service marks, and logos contained therein are owned by or licensed by the FAIR Institute and subject to copyright and other intellectual property rights under the United States and foreign laws and international conventions.

Members may have exclusive access to certain proprietary materials created by the FAIR Institute and acknowledge that distribution of those materials shall not be made available to non-FAIR Institute Members or used in contravention of the purposes of the FAIR Institute.

6. Indemnity
Member shall indemnify and hold the FAIR Institute (and its officers, directors, agents, subsidiaries, joint ventures and employees) harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Members breach of this Agreement, or Members violation of any law or the rights of a third party.

 

7. No Agency
No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

 

8. Terminating Membership
Membership is voluntary and Members are free to terminate their membership at any time by email notification to memberservices@fairinstitute.org

Terms regarding the status of Content shall remain applicable post-termination. Content remains property of the FAIR Institute. The FAIR Institute reserves the right to terminate Member at any time without notice.

 

9. Governing Law
This Agreement shall be construed under and governed in accordance with the laws of the State of Washington.

 

10. Arbitration.
Any dispute arising under this contract shall be resolved under the commercial arbitration rules of the American Arbitration Association.

 

11. Communication
Members hereby authorize a FAIR Enablement Specialist to contact them at the telephone number provided. These calls may or will be monitored or recorded for quality assurance, training purposes, and to assist with customer service. Member registration and the acknowledgement of these terms serve as prior consent to have conversations recorded.

 

12. Limitation of Liability
Member shall not hold Community responsible for other user Members content, actions or inactions.
